These Terms of Service ("Terms") govern the use of the services ("the Service") provided by Termas Inc.("we" or "us"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use the Service.
1.1. By accessing or using the Service, you represent and warrant that you have read, understood, and agree to be bound by these Terms.
1.2. We may modify or update these Terms from time to time. Any changes to the Terms will be effective immediately upon posting the revised version on our website. Your continued use of the Service after the posting of any changes constitutes your acceptance of such changes.
2.1. We offer design services, which include creating and delivering custom designs based on the specifications provided by you.
2.2. The process typically involves initial consultation, design concept creation, revisions, and final delivery of the approved design files.
3.1. To initiate an order, you must provide accurate and complete information through our designated order form or communication channels.
3.2. You agree to provide clear instructions, design preferences, and any necessary materials, such as branding guidelines or reference images, to facilitate the design process.
3.3. We reserve the right to decline or cancel any order at our discretion.
4.1. Upon receipt of full payment for the design service, we grant you a non-exclusive, non-transferable license to use the final design for the intended purposes specified in the order.
4.2. We retain ownership of all original design concepts, drafts, and unused design materials.
4.3. You may not reproduce, modify, distribute, or publicly display the design without our express written permission.
5.1. We provide a specified number of revisions during the design process as outlined in the order agreement.
5.2. You must provide timely feedback and approval or request revisions within the designated timeframes to ensure project progress.
5.3. Failure to respond or provide feedback within the specified timeframe may result in project delays or additional fees.
6.1. We will deliver the final design files in the agreed-upon format and resolution upon receipt of full payment.
6.2. We strive to deliver high-quality designs, but no guarantees are made regarding the success, suitability, or effectiveness of the design in achieving your goals.
6.3. Due to our confidence in our work, we provide a 6 months guarantee upon the delivery of the final product. However, we reserve the right to deny such guarantee once work has commenced unless exceptional circumstances arise, as determined by us.
7.1. We understand the importance of confidentiality and will treat all information provided by you as confidential, except as required by law or for the purpose of delivering the Service.
7.2. We may showcase completed designs in our portfolio or marketing materials unless otherwise agreed upon in writing.
8.1. You expressly understand and agree that we shall not be liable for any direct, indirect, incidental, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, resulting from your use of the Service.
8.2. We do not guarantee the availability, accuracy, or reliability of the Service, including but not limited to any technical issues, interruptions, or errors.
9.1. These Terms shall be governed by and construed in accordance with the provincial and federal laws of Canada.
9.2. Any dispute arising out of or relating to these Terms or the Service shall be exclusively submitted to the competent courts of the jurisdiction.
