Terms of Service

These Terms of Service govern purchases and services provided by Termas Inc. (“Termas Designs,” “we,” “us,” or “our”).

By purchasing a package, accepting a custom offer, or otherwise engaging Termas Designs for a project, you agree to these Terms.

1. Services

Termas Designs provides digital creative services including game logo design, branding, icons, 3D design, animation, visual identity assets, and related design services.

The exact scope of each project is defined by the package, checkout page, proposal, or custom offer purchased by the client.

All services and deliverables are provided digitally.

2. Orders and Payment

Payment must be successfully received before work begins unless otherwise agreed in writing.

Clients are responsible for any currency conversion fees, bank fees, taxes, or other charges imposed by their payment provider.

If payment fails, is reversed, or cannot be verified, Termas Designs may pause or cancel the project.

Requests outside the original project scope may require an additional payment before the additional work begins.

3. Packages and Deliverables

The deliverables included in each project depend on the package or custom offer purchased.

Deliverables may include:

  • Initial logo concepts
  • Final logo design
  • Game icon
  • Logo animation
  • Flat vector logo kit
  • Social media assets
  • High-resolution files
  • Source files
  • Commercial usage rights
  • Revisions
  • Project support

Only the deliverables specifically included in the selected package, proposal, or custom offer are included in the purchase.

Additional deliverables may be quoted separately.

4. Client Responsibilities

Clients agree to:

  • Provide accurate and complete project information
  • Complete any required questionnaire or intake form
  • Provide necessary references and materials
  • Provide feedback within a reasonable timeframe
  • Ensure they have the legal right to use any names, images, characters, trademarks, artwork, or other materials they provide

Termas Designs is not responsible for copyright, trademark, licensing, or ownership disputes involving materials supplied by the client.

5. Delivery Timelines

Estimated delivery times are displayed on the relevant package, checkout page, proposal, or custom offer.

The delivery period begins after payment has been successfully received and the client has provided the required project information.

Delivery timelines may be affected by:

  • Client response time
  • Revision requests
  • Changes in project scope
  • Missing information or materials
  • Technical issues
  • Unexpected circumstances outside our reasonable control

Time spent waiting for client feedback, approvals, files, or required information may extend the delivery timeline.

Unless specifically guaranteed in writing, delivery dates are estimates and may change depending on the project.

6. Concepts and Revisions

The number of initial concepts and revision rounds depends on the package or custom offer purchased.

A revision round consists of one consolidated set of feedback provided by the client.

Revisions are intended to refine the selected creative direction.

A request may be considered outside the original revision scope if it requires:

  • A completely new concept
  • A major change in creative direction after approval
  • Significant new illustration or design work
  • Additional assets not included in the purchased package

Additional work may require an additional fee.

7. Money-Back Guarantee and Refunds

Certain packages may include a money-back guarantee.

Where advertised, the client must first allow Termas Designs to complete the included revision process.

If the client remains unhappy after the included revisions, they may request a refund before final files are delivered.

Once final files have been delivered, the project is considered completed and is no longer eligible for the money-back guarantee, except where required by applicable law.

Additional refund conditions are governed by the separate Refund Policy published on our website.

8. Cancellations

A project may be canceled before design work begins, subject to the Refund Policy.

Once work has begun, refund eligibility depends on the project stage, work completed, revisions performed, and whether final files have already been delivered.

Once final files have been delivered, the project is considered completed and is no longer eligible for cancellation or refund, except where required by applicable law.

Termas Designs may cancel or refuse a project involving fraud, abuse, harassment, illegal activity, infringement requests, or serious violations of these Terms.

9. Client Inactivity

Clients are responsible for providing the information, feedback, and approvals required to complete their project.

If a client fails to respond or provide required feedback for 40 consecutive calendar days:

  • The project may be considered complete due to inactivity
  • Work completed up to that point may be delivered as-is
  • The project becomes non-refundable
  • Any additional work requested after the project has been closed may require a new agreement, revised timeline, or additional fee

10. Intellectual Property and Commercial Rights

After full payment and final delivery, the client receives the commercial usage rights included with their purchased package or custom offer.

Unless otherwise specified, final approved deliverables may be used commercially for purposes including:

  • Games
  • Websites
  • Social media
  • Advertising
  • Trailers
  • Promotional materials
  • Merchandise
  • Presentations
  • Other related commercial uses

Unless explicitly included in the final delivery, the following remain the property of Termas Designs:

  • Rejected concepts
  • Unused concepts
  • Preliminary sketches
  • Drafts
  • Alternative creative directions
  • Presentation materials
  • Internal working materials
  • Design techniques, systems, processes, and templates

Commercial rights do not transfer ownership of third-party materials governed by separate licenses.

11. Portfolio Rights

Unless otherwise agreed in writing, Termas Designs reserves the right to display completed work for:

  • Portfolio purposes
  • Website presentation
  • Social media
  • Case studies
  • Advertising
  • Marketing and promotional materials

Clients requiring confidentiality should contact Termas Designs before purchasing or before the project is publicly displayed.

12. Fonts, Stock Assets, and Third-Party Materials

Projects may use properly licensed third-party resources where appropriate, including:

  • Fonts
  • Textures
  • Stock assets
  • Sound effects
  • Music
  • Mockups
  • Plugins
  • Other production resources

Third-party assets remain subject to their original licensing terms.

The client may be responsible for obtaining an additional or extended license where required for their intended use.

13. Trademark and Legal Clearance

Termas Designs provides design services and does not provide legal or trademark advice.

Termas Designs does not guarantee that a game title, business name, logo, icon, or other design can be successfully registered as a trademark.

Clients are responsible for conducting appropriate trademark searches and obtaining legal advice where necessary before registration or commercial use.

14. Chargebacks and Payment Disputes

Clients agree to contact Termas Designs before initiating a chargeback or payment dispute so that we have an opportunity to resolve the issue.

If a chargeback or payment dispute is initiated:

  • Work may be immediately paused
  • Undelivered files may be withheld
  • Termas Designs may provide relevant project, communication, delivery, and payment records to the payment processor
  • Further services may be refused in cases involving fraudulent disputes

15. No Guarantee of Commercial Results

Termas Designs aims to provide professional, distinctive, high-quality creative work but cannot guarantee specific commercial outcomes.

Termas Designs does not guarantee:

  • Increased sales
  • Increased downloads
  • Increased player acquisition
  • Increased revenue
  • Advertising performance
  • Marketplace approval
  • Trademark registration
  • Business success

Commercial results depend on many factors outside our control.

16. Limitation of Liability

To the fullest extent permitted by applicable law, Termas Designs will not be liable for indirect, incidental, consequential, or special damages arising from the use of our services or deliverables.

This includes losses relating to:

  • Lost profits
  • Lost revenue
  • Lost business opportunities
  • Marketing performance
  • Third-party production
  • Platform incompatibility
  • Trademark or legal disputes outside our control

Where legally permitted, the total liability of Termas Designs relating to a project will not exceed the amount paid by the client for that specific project.

17. Refusal or Termination of Service

Termas Designs reserves the right to refuse or terminate service where reasonably necessary, including situations involving:

  • Fraud
  • Chargeback abuse
  • Harassment or abusive conduct
  • Illegal activity
  • Copyright or trademark infringement requests
  • Failure to make required payments
  • Serious violations of these Terms

18. Changes to These Terms

Termas Designs may update these Terms of Service from time to time.

Updated Terms become effective when published on the website.

For existing projects, the version of the Terms applicable at the time of purchase will generally continue to govern that project unless otherwise required by law.
